Caribbean Utilities Company announced that the nominees listed in a notice to shareholders on 11 March were elected as directors of the company at the annual general meeting and special shareholder meeting on Tuesday, 10 May.
The directors are Jennifer Dilbert, Sheree Ebanks, Jennifer Frizzelle, Woody Foster, Susan Gray, Sophia Harris, Scott Hawkes, Richard Hew, Gretchen Holloway, Mark Macfee and Gary Smith.
The chairman of the board of directors, David Ritch, and long-term director Peter Thomson, retired from service as directors at the meeting.
At a meeting of the new board that followed the shareholder meeting, Sheree Ebanks was appointed as the new chair of the board. Ebanks was elected as a member of the board in May 2014 and was appointed as chair of the audit committee of the board in May 2020. She is the company’s first female chair of the board of directors.
By special resolution, shareholders agreed proposed amendments of CUC’s articles of association to allow for virtual meetings and electronic voting. The changes were part of a regular review and aim to update the articles in line with Cayman and Canadian law and modern practice.
CUC is listed on the Toronto Stock Exchange.
Shareholders also approved the appointment of Deloitte LLP. as auditors of CUC until the next annual meeting and the board was authorised to fix the auditors’ remuneration.
Following the release of the first-quarter financial results, the board declared a dividend of US$0.175 per Class A Ordinary Share, or an annualised dividend of US$0.70 per share.
The dividend will be payable on 15 June to shareholders of record on 1 June.
